Terms and Conditions

The provision of all services and sale of all goods by Whittle Design Studio Ltd are subject to the following terms and conditions. These terms and conditions supersede all previous agreements between Whittle Design Studio Ltd and the client and no variation or other terms and conditions shall apply unless agreed in writing and signed by Whittle Design Studio Ltd.

‍Validity of Quotations
‍Quotations are valid for a period of 28 days from issue and is based on information supplied.

‍Price Variation
‍Quotations are based on current costs of production and unless otherwise agreed, are subject to amendments on or at any time after acceptance to meet any rise or fall in such costs.

‍Payment Terms
‍Payment terms will vary from project to project, however the confirmation or order which is signed at the start of the project will detail the payment terms. By default a 50% non-refundable deposit is required for all projects over £100. Whittle Design Studio Ltd do not accept payment by cheque or cash. Whittle Design Studio Ltd may sometimes part invoice as stages are completed and may request payment in advance for implementation costs, such as photographer’s, images etc…

‍Production Schedules
‍Timescales quoted will commence from the date of receipt of the signed Confirmation of Order form and cleared deposit. Every effort will be made to meet the timescales quoted, however Whittle Design Studio Ltd will not be liable for any consequences arising from any delays for whatever reason.

‍Retention of Title
‍The copyright of all designs, illustrations, images and artwork prepared by Whittle Design Studio Ltd will reside with Whittle Design Studio Ltd until payment is received and cleared in full.

‍Promotional material
‍Whittle Design Studio Ltd reserve the right to use client artwork and designs for promotional material (excluding work completed for an Agency). Clients not wishing their artwork and designs to be used should notify Whittle Design Studio Ltd in writing.

‍Content
‍Charges may be made to cover any additional work / re-work involved where copy or images supplied by the client are not clear, legible or suitable for use or where the client changes or cancels instructions to Whittle Design Studio Ltd.

‍Travelling and meetings
‍Travelling time to and from client’s premises and meetings with clients may be charged extra at our standard hourly rate.

‍Client material and legal material
‍If the client supplies any artwork, illustration, images or defines any part of a project undertaken with Whittle Design Studio Ltd, Whittle Design Studio Ltd relies upon the client to ensure and the client warrants that the use of such material is legal, and does not infringe any copyright, trademark or other intellectual property right. The client will indemnify Whittle Design Studio Ltd in respect of the consequences of any such infringement.

‍Search Engine Optimisation (SEO)
‍Whittle Design Studio Ltd can not guarantee results on any search engine.

‍Indemnity
‍In placing an order with Whittle Design Studio Ltd for any advertisement, announcement or web site material intended for publishing, printing, broadcasting, screening or use in connection with the Internet, the client agrees to indemnify Whittle Design Studio Ltd in respect of any claims made against it arising from the content of those advertisements, announcements or web site material intended for publishing, printing, broadcasting, screening or use in connection with the Internet.

‍Obligation
‍It is the responsibility of the client to co-operate with and to provide Whittle Design Studio Ltd with the appropriate information and materials required to carry out the agreed project within designated timescales. Whittle Design Studio Ltd will not be responsible for delay in the provision of any service or product caused or influenced by the late receipt of such information or materials and co-operation.

‍Website design and development
‍Whittle Design Studio Ltd accepts no responsibility for the re-registering of clients’ domain names not managed by Whittle Design Studio Ltd. Whittle Design Studio Ltd will not be responsible for any loss of turnover, sales, revenue, profits or indirect consequential or special loss arising from any aspect of their work. Whittle Design Studio Ltd also reserves the right to suspend its service at any time in the event of a breach, or suspected breach, on the part of client(s) in respect of the ‘acceptable use’ of any website. Where search engine optimisation is provided, no guarantee will be given to page ranking.

‍Insolvency
‍In the event that the client offers to, or makes any arrangements with or for the benefit of their creditors, or if any client commits any act of bankruptcy or the client is unable to pay its debts, Whittle Design Studio Ltd shall thereupon be entitled to suspend all projects and services and terminate any contract.

‍Disclaimer
‍Whittle Design Studio Ltd shall not be liable to the client for any failure to perform its obligations due to any circumstances beyond its control and in such event Whittle Design Studio Ltd may elect by written notice to cancel any agreement with the client. Whittle Design Studio Ltd makes no warranties of any kind, expressed or implied for services provided. Whittle Design Studio Ltd reserves the right to revise its policies at any time. Clients will be notified of any such changes.In the event of an error or errors occurring within any advertisement, announcement, web site material or promotional item prepared by Whittle Design Studio Ltd for publishing, printing, broadcasting, screening or use in connection with the Internet, Whittle Design Studio Ltd will not be responsible for any consequential loss to the client or any sum, costs or charges greater than the cost of reprinting any such item or reinstating the corrected advertisement, announcement or web site material for publishing, broadcasting, screening or use in connection with the Internet.

‍Force Majeure
‍Whittle Design Studio Ltd shall be under no liability if it is unable to carry out any provision of a contract for any reason beyond its control including (without limiting the foregoing) Act of God, legislation, war, theft, fire, flood, drought, failure of power supply, lock-out, strike, or other action taken by employees or agents of Whittle Design Studio Ltd or owing to any inability to procure materials and services required for the performance of the contract. During the continuance aof such a contingency the client may by written notice terminate the contract and pay for work done and materials used, but subject thereto shall otherwise accept delivery when available.
